Electronic Signature Terms and Conditions
By using our electronic signature partner or any e-signature service, you agree to the following terms and conditions:
Definitions
- “Electronic signature” means an electronic symbol, sound, or process that is attached to or logically associated with an electronic record and executed or adopted by a person with the intent to sign the record.
- “Electronic record” means information created, stored, or transmitted in an electronic format.
- “You” means the individual or entity using our electronic signature service.
Acceptance of Electronic Signatures.
- You agree that your electronic signature is legally binding and has the same legal effect as a handwritten signature.
- You agree that you have the authority to sign the agreement electronically on behalf of the party you represent.
Security and Confidentiality
- We will take all reasonable steps to protect the security and confidentiality of your electronic signature.
- You are responsible for safeguarding your login credentials and electronic signature.
- You agree not to share your login credentials or electronic signature with anyone else.
Limitation of Liability
- We will not be liable for any damages you may suffer as a result of your use of our electronic signature service, including, but not limited to, any damages caused by:
- Errors or omissions in your electronic signature.
- Unauthorized use of your electronic signature.
- Failure of our electronic signature service to work properly.
Indemnification
- You agree to indemnify and hold us harmless from any and all claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of or in connection with your use of electronic signature service.
Entire Agreement
- These terms and conditions constitute the entire agreement between you and us with respect to the use of our electronic signature service.
- These terms and conditions supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Governing Law
- These terms and conditions are governed by and construed in accordance with the laws of the Province of Quebec.
- Any dispute arising out of or in connection with these terms and conditions will be resolved exclusively in the courts of Quebec, Canada.
Severability
- If any provision of these terms and conditions is held to be invalid or unenforceable, such provision will be struck from these terms and conditions and the remaining provisions will remain in full force and effect.
Waiver
- Our failure to enforce any provision of these terms and conditions will not be construed as a waiver of that provision or any other provision of these terms and conditions.
Counterparts
- These terms and conditions may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
BY USING OUR E-SIGNATURE PARTNER (BOLDSIGN) OR ANY OF E-SIGNATURE SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS ELECTRONIC SIGNATURE AGREEMENT.
